Construction permit application procedures: important notes for investors

In investment and business activities in Vietnam, the term “Business License” is widely used. However, a lack of understanding of this term’s legal nature, particularly the confusion between the right to establish an economic organization and the right to operate in conditional business lines, can lead to errors in administrative procedures and arise unnecessary legal risks.

The following article, compiled by legal experts at Tran & Tran International Intellectual Property Law Firm, will provide an accurate information system based on current legal regulations, helping Valued Enterprises clearly distinguish between types of licenses and correctly understand the scope of intellectual property protection from the initial stage.

I. LEGAL BASIS FOR MARKET ENTRY CONDITIONS

According to the provisions of the Law on Enterprises 2020 and the Law on Investment 2020, the right to freedom of enterprise is protected by the State. However, this right is exercised within the framework of the law, especially regarding conditional business investment lines.

Full and correct compliance with regulations on enterprise registration and operating licenses is a mandatory requirement to ensure the legality and sustainable development of the enterprise. Any act of operating without completing necessary legal procedures faces the risk of administrative penalties, suspension of operations, or legal disputes.

II. DISTINGUISHING “ENTERPRISE REGISTRATION CERTIFICATE” AND “BUSINESS LICENSE”

To avoid administrative violations, Valued Enterprises need to clearly distinguish between the following two types of legal documents, which have distinct nature and state management purposes:

1. Enterprise Registration Certificate (ERC)

  • Definition: A document in paper or electronic form recording information about enterprise registration granted by the Business Registration Office to the enterprise.

  • Legal Nature: This document records the birth of a legal entity (for companies) or a business entity (for business households). This document confirms that the enterprise has legally registered its establishment with the state agency.

  • Issuing Authority: Business Registration Office – Department of Planning and Investment of provinces/centrally-run cities.

  • Scope of Validity: The enterprise has the right to conduct business operations from the date of issuance of the Enterprise Registration Certificate, except for cases of trading in conditional business investment lines.

2. Business License (Commonly referred to as Specialized License)

  • Definition: A document issued by a competent state agency to an enterprise to allow operation in conditional business investment lines specified in Appendix IV of the Law on Investment.

  • Legal Nature: This is a state management tool to ensure that the enterprise meets sufficient conditions regarding security, order, social safety, public health, etc., before going into actual operation.

  • Time of Issuance: Issued after the enterprise has been granted the Enterprise Registration Certificate and has completed statutory conditions.

  • Common Cases:

    • Operating license for the education sector (Foreign Language Centers, Study Abroad Consultancy).

    • Transport business license.

    • Certificate of food safety eligibility (for food production, trading, and restaurant sectors).

    • Medical examination and treatment activity license.

    • License for trading in goods and activities directly related to trading in goods (for foreign-invested enterprises).

III. REFERENCE PROCESS FOR ENTERPRISES TO OPERATE LEGALLY

To ensure legal compliance, Valued Enterprises should follow this sequence:

  1. Step 1 – Enterprise Establishment Registration: Investors prepare dossiers and submit them to the Department of Planning and Investment to be granted the Enterprise Registration Certificate. This step establishes the legal status of the organization.

  2. Step 2 – Apply for Specialized License (If belonging to conditional lines): Enterprises review their business lines codes. If belonging to the list of conditional lines, the enterprise is required to submit an application for a permit to specialized management agencies (Department of Education & Training, Department of Health, Department of Industry and Trade…) and is only allowed to operate after being granted the permit.

  3. Step 3 – Establish Intellectual Property Rights: This is an important step often overlooked but determines brand safety in the long run.

IV. RELATIONSHIP BETWEEN BUSINESS REGISTRATION AND INTELLECTUAL PROPERTY PROTECTION

A common confusion for many enterprises is equating Enterprise Name (issued under the Law on Enterprises) with Trademark/Brand (protected under the Law on Intellectual Property).

Tran & Tran would like to draw Valued Enterprises’ attention to the following important legal points:

1. The Enterprise Registration Certificate does not protect Trademark exclusivity

The approval of the enterprise name by the Department of Planning and Investment is only meant to avoid duplicate names within the national enterprise registration database for administrative management purposes. This does not mean that the enterprise has the exclusive right to use that name as a trademark affixed to products, signboards, or packaging.

2. Legal risks when not registering a Trademark

Many enterprises have completed business registration and operating license procedures, but when launching products to the market, they face legal disputes because:

  • The Trade Name or Logo accidentally coincides with or is confusingly similar to a trademark already registered for exclusive protection by another party at the Intellectual Property Office of Vietnam.

  • Consequence: The enterprise may be forced to cease using the brand name, remove signboards, recall products, compensate for damages, and be administratively sanctioned for intellectual property infringement.

Recommendation: Right from the establishment stage, concurrent with performing administrative procedures, Valued Enterprises should conduct Trademark Search and Registration to ensure legal ownership of their intellectual property assets.
